GENERAL TERMS AND CONDITIONS

SCOPE

These General Terms and Conditions (hereinafter "GTC") apply to the business of Keys Distribution GmbH, Technopark Liechtenstein, Schaanerstrasse 27, 9490 Vaduz, Liechtenstein, (hereinafter "we" or "us"). Keys.Express owns and operates the website keys.express (hereinafter "website") with the online store for Liechtenstein and Switzerland.
For orders and purchases through our online stores in the EU, the terms and conditions of Keys Distribution GmbH, Technopark Liechtenstein, Schaanerstrasse 27, 9490 Vaduz, Liechtenstein, phone: +423 7989130, e-mail: welcome(at)keys.express apply.
Keys Distribution GmbH sells product key(s) for the activation of the respective computer programs via the website to private as well as business customers (hereinafter "customer" or "you"). The license is only formed from the respective installation and the consequent acceptance of the terms of use, which regulates the right of use between you and the respective manufacturer.
These terms and conditions always apply in the version valid at the time of the respective contract conclusion for the above mentioned areas as well as the further services, which Keys Distribution GmbH provides directly and indirectly to the customer.
The order is confirmed by us. The contract is concluded as soon as the confirmation is received by the customer.
For purchase contracts, which are concluded in another way, e.g. by telephone, letter or other platforms such as ricardo.ch, these GTC are also valid. The valid GTC for these types of contract conclusion are made available to the customer directly before the conclusion of the contract or in the checkout process of the order for confirmation, which are made permanently available to the customer with the delivery of the product key or are stored directly as a link in the checkout.

PRICES

Keys Distribution GmbH reserves the right to change the prices at any time. The prices valid at the time of the conclusion of the contract on the website "Keys.Express" or according to the separate price list of Keys.Express are valid. For the customer, the prices valid at the time of the conclusion of the purchase apply.
The prices are indicated in CHF, EUR and are understood as gross prices (incl. VAT) in the case of a purchase via the website or as net prices less any discount and without VAT in the case of a purchase via a customer account. The total price of your order, including VAT, will be displayed at the end of the ordering process.
There is no minimum purchase value to redeem vouchers or promotions or discounts.
Voucher and discount promotions can be combined. Voucher and discount promotions can only be redeemed for one purchase in the online store. After that, the voucher and discount promotions lose their validity. Vouchers may not be passed on and can only be redeemed by the person who has received them directly from Keys Distribution GmbH electronically or by mail.
If vouchers and discount campaigns in the online store are redeemed several times by the same customer, Keys Distribution GmbH reserves the right to charge this amount to the customer afterwards and/or to block the account. Keys Distribution GmbH also reserves this right in cases where customers try to circumvent this regulation, especially by using different e-mail addresses.
If there are additional special conditions for vouchers, promotions and discounts, these can be found in the relevant information about the respective promotions and discounts and take precedence over these GTC. In this case, the special conditions are explained in each case with the voucher or discount action by Keys Distribution GmbH and also sent again in the confirmation email following the online purchase.

AVAILABILITY

All information regarding the availability of our products and the shipment and delivery of our goods is preliminary information and approximate. They do not represent binding or guaranteed shipping or delivery dates. Any liability for unavailability of goods or for delays in shipment or delivery of goods is expressly excluded.
Our goods are available as long as our stocks last. If Keys Distribution GmbH finds out during the processing of your order that the goods you ordered are not available, we will inform you immediately.
Our product keys are generally available as long as they are offered in the online store. If Keys Distribution GmbH finds out during the processing of your order that the product keys ordered by you are not available, for whatever reason, the customer will immediately receive a notice that the product key will be delivered within 72 hours. In this case, no contract for the unavailable products will be concluded.
Furthermore, we reserve the right to limit the number of items that can be purchased by a customer. In this case we will inform the customer by e-mail accordingly.

DELIVERY TERMS

The delivery of the product keys shall be made as soon as possible. Unless otherwise agreed, delivery will be made electronically after completion of the order by means of a key and download link.
The shipment is usually within 24 hours, but mostly immediately after receipt of order.
If a physical delivery by means of USB stick or DVD with the installation file was chosen, we will send it to you by mail or another delivery service for an extra charge. With the USB stick and the DVD, all you have to do is double-click on the start or setup file and the installation will start by itself. Then simply enter the product key when prompted and the installation will be fully automatic from the USB stick or DVD.
If you have decided for a physical delivery, we will inform you about a provisional delivery date with the order confirmation or we will contact you directly to arrange an individual delivery date.
If the delivered goods are defective at the time of the transfer of risk, e.g. due to a manufacturer's defect, or if there is a wrong delivery or an incomplete delivery, we will, at our discretion, deliver a replacement or cancel the purchase and refund the purchase price to the customer.
The warranty claim of the customer expires if he does not report the defect or the wrong delivery within 14 calendar days after receipt of the goods or within 14 calendar days after provision for download by e-mail, telephone or mail.

LIABILITY AND ACTIVATION GUARANTEE

If a product key does not work, we will replace it immediately free of charge. (Activation with other/modified versions from the internet/retail may fail under certain circumstances. This is extremely rare, and if it does happen, you will get a new product key or your money back immediately. You have no risk).

USE

The product key is intended for one-time activation on a computer. The period of use is unlimited as long as the product is used on the same device. If the computer is reformatted, re-installed or if changes are made to the hardware, there is no guarantee that the product key will continue to work on the computer.

PAYMENT

The customer is obliged to pay the invoiced amount in due time. As a rule, the amount is already to be paid during the order process via credit card, Paypal, Bitcoin or other payment systems.
Keys Distribution GmbH reserves the right not to offer certain payment methods in a specific individual case and to refer to other payment methods used by us (for example, to protect our credit risk, only those according to the respective credit rating). Keys Distribution GmbH is expressly authorized by the customer to carry out credit checks at its own discretion and to pass on data of the customer to third parties for this purpose, if necessary.
All invoices that are not paid directly on the website are sent directly to A.B.S. Factoring AG, Zürcherstrasse 104, 8852 Altendorf. The invoice must therefore be paid to the A.B.S. Factoring AG.

Offsetting of the invoiced amount with a possible claim of the customer against Keys Distribution GmbH is not permitted.
Keys Distribution GmbH has the right to refuse the service provision, the delivery of the product or the granting of the license in case of delayed payment.

REVOCATION/CANCELLATION RIGHT

The customer has the right to cancel this contract in writing within fourteen (14) calendar days without giving any reason.
Cancellation restrictions: The right of cancellation is excluded if the delivered product key has been activated or registered.
The revocation period begins with the release of the order.
The revocation must be a clear declaration, which is to be sent to Keys.Express in writing (e.g. by e-mail or post). The customer can formulate the revocation himself or use the [hyperlink to sample revocation form] for this purpose.
To comply with the withdrawal period, it is sufficient that the customer sends the notice of exercise of the right of withdrawal before the expiry of the withdrawal period.
If the customer revokes this contract, Keys.Express shall repay all payments it has received from the customer for the corresponding order, including the delivery costs (with the exception of the additional costs resulting from the fact that you have chosen a type of delivery other than the cheapest standard delivery offered by us), without undue delay and at the latest within fourteen (14) calendar days from the day on which the company received the notification of your revocation of this contract.
For this repayment, Keys.Express can use the same means of payment that the customer used for the relevant order and payment, subject to other agreements with the customer. In no case the customer will be charged fees because of this repayment.

OBLIGATIONS OF KEYS DISTRIBUTION GmbH

Unless otherwise agreed, Keys Distribution GmbH fulfills its obligation by providing the agreed service.
A large part of the services of Keys Distribution GmbH are provided online. For all other services, the registered office of Keys.Express is considered as the place of fulfillment, unless other provisions are made.

OBLIGATIONS OF THE CUSTOMER

The customer is obliged to exercise the rights of use only to the extent granted. The customer is fully responsible for the safekeeping of his access data and passwords. The customer is responsible for the content of the recorded data and information.
The customer is obligated to immediately make all arrangements, which are necessary for the provision of the service by Keys Distribution GmbH. The customer has to make the arrangements at the agreed place at the agreed time and to the agreed extent. Depending on the circumstances, this includes the provision of suitable information and documentation to Keys Distribution GmbH.
The customer confirms with the acceptance of the present GTC, that he has an unlimited capacity to act and is of legal age. With the registration, the customer expressly declares that all information provided is true, up-to-date and in accordance with the rights of third parties, morality and the law.

RETENTION OF TITLE

The ownership of the products remains with the company Keys Distribution GmbH until the complete payment of the purchase price.

WARRANTY FOR THE WEBSITE USE

Keys Distribution GmbH strives for a good availability and takes reasonable precautions to protect the website from third party interference.
However, Keys Distribution GmbH cannot guarantee an uninterrupted and trouble-free functioning of the website and the offered services and also cannot guarantee that the files are virus-free.
Subject to possible obligations by virtue of applicable laws, Keys Distribution GmbH, its directors, officers, employees and vicarious agents do not accept any liability in connection with the use of the website, a hacker attack on accounts, the falsification of the identity of customers or the customer's reliance on or the (prevented) customer's use of the information and services offered on the website.
The same applies to liability in connection with any failure of performance, error, omission, malfunction, defect, delay in operation or transmission, computer virus, failure of performance or system failure, and in cases of negligence, damages, losses or liabilities, including, but not limited to, any direct or indirect, special, incidental or consequential damages, losses or liabilities, even if the parties have advised Keys Distribution GmbH of the possibility of the occurrence of such damages, losses or liabilities.
In addition, Keys Distribution GmbH disclaims any liability for any tampering with the parties' computer system by unauthorized natural persons.
Keys Distribution GmbH expressly disclaims any express or implied warranties with respect to the Service. This includes, but is not limited to, any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or availability or speed of delivery of Customer Content imposed on or expressed by Keys Distribution GmbH.
In particular, we do not warrant the accuracy, timeliness or completeness of the information provided in these terms and conditions, either in terms of its content or presentation. Liability in case of loss of data or loss of material of any kind (e.g.: equipment, keys, documents) is also excluded.

WARRANTY FOR PRODUCT KEY(S)

Keys Distribution GmbH warrants that the products are free of legal defects at the time of the transfer of risk.
Keys Distribution GmbH does not warrant in particular the factual and content-related correctness, completeness and reliability or quality of the provided, the published or transmitted information and documents, processes as well as the work result of the services.
Keys Distribution GmbH does not warrant that the website and/or products are free from spamming, harmful software, spyware, hacker or phishing attacks, etc., which could impair the use of the service, damage the infrastructure (e.g. end devices, PC) of the customer or otherwise harm him.
If delivered Product Keys show obvious material or manufacturing defects, you must notify us of such defects in writing within 10 (ten) calendar days of delivery. Hidden defects must be claimed within the same period after discovery. Otherwise our warranty obligation shall lapse.
Warranty claims are subject to the condition that the defect has not been caused by improper use or overuse. If a defect becomes apparent later than 6 (six) months after handover, the customer must prove that the item was defective at the time of transfer of risk.

LIABILITY

Liability for any indirect damages and consequential damages is excluded in full.
The liability for direct damages is limited to the sum of the service, product or license purchased by the customer. This limitation of liability does not apply to direct damages caused by gross negligence or intentional acts.

RIGHTS

All rights to the products, services and possible brands are entitled to Keys Distribution GmbH or it is entitled to their use by the owner.
Neither these GTC nor associated individual agreements have the transfer of intellectual property rights as content, unless this is explicitly mentioned.
Any further use, publication and making accessible of information, pictures, texts or other things, which the customer receives in connection with these regulations, is prohibited, unless it is explicitly approved by the company.
If the customer uses contents, texts or pictorial material in connection with the company, in which third parties have an industrial property right, the customer has to ensure that no industrial property rights of third parties are violated.

DATA PROTECTION

Keys Distribution GmbH collects and processes personal data only within the framework of the legal provisions, in particular in compliance with the applicable data protection laws. It takes the technical and organizational measures, which are necessary to secure the data according to the legal regulations. The customer fully agrees to the storage and contractual processing of his data by Keys Distribution GmbH and is aware that Keys Distribution GmbH is obligated and entitled to disclose information from the customer to these or third parties on order of courts or authorities. The data necessary for the performance of the service can also be disclosed to commissioned service partners or other third parties.

CHANGES

Keys Distribution GmbH reserves the right to change these GTC at any time. All changes become effective with the publication of the new GTC on the website.
For the customers, the version of the GTC, which is in force at the time of the conclusion of the contract, is valid in principle. Unless the customer has subsequently agreed to a newer version of the GTCs.

PRIORITY

Provisions from individual contracts, which still specify the provisions of these GTCs, take precedence over these GTCs.

SEVERABILITY

Should any provision of this GTC or any supplement thereto be or become invalid, this shall not affect the validity of the remainder of the GTC provisions. The contracting parties shall replace the invalid provision with a valid provision that comes as close as possible to the intended economic purpose of the invalid provision. The same shall apply to any loopholes in the GTC.

CONFIDENTIALITY

Both parties undertake to treat all information submitted or acquired in connection with the services as confidential. This obligation remains in force even after the termination of the contract.

FORCE MAJEURE

If the timely fulfillment by Keys Distribution GmbH, its suppliers or third parties is made impossible as a result of force majeure, such as natural disasters, earthquakes, volcanic eruptions, avalanches, thunderstorms, storms, wars, riots, civil wars, revolutions and uprisings, terrorism, sabotage, strikes, nuclear accidents or reactor damage, epidemics, pandemics, Keys Distribution GmbH is released from the fulfillment of the affected obligations for the duration of the force majeure as well as an appropriate start-up time after its end. If the force majeure lasts longer than 30 calendar days, Keys Distribution GmbH can withdraw from the contract. Keys Distribution GmbH has to fully reimburse the customer for payments already made.
Any further claims, especially claims for damages due to force majeure are excluded.

LEGAL INFORMATION

We only offer product keys for the activation of the respective computer programs. The license is formed only from the respective installation and the acceptance of the respective terms of use.

APPICABLE LAW / JURISDICTION

These GTC are subject to Liechtenstein substantive law. The United Nations Convention on Contracts for the International Sale of Goods (SR 0.221.221.1) and the regulations of international private law are explicitly excluded.
For all disputes arising from or in connection with these GTC, the court at the domicile of Keys Distribution GmbH is responsible.
